Clearwater Analytics, a leading global SaaS firm providing cloud-based investment accounting, reporting, and analytics, announced recently that it will be acquired by Permira and Warburg Pincus in an $8.4 billion deal.
The company’s announcement says that the deal will also see participation from Temasek and key support from Francisco Partners. The deal represents one of the largest private equity buyouts in the investment management technology sector, and suggests that there is growing conviction in data-driven, AI-enabled platforms that serve institutional investors.
The firm noted that the Special Committee of the CWAN Board of Directors unanimously recommended the transaction after a thorough process that included engaging with certain strategics and financial sponsors.
Under the terms of the agreement, CWAN stockholders will receive $24.55 per share in cash after upon completion of the transaction. “The per share purchase price represents a premium of approximately 47 percent over CWAN’s undisturbed share price as of November 10, 2025, the last trading day prior to media reports regarding a potential transaction,” the company said.

CWAN CEO, Sandeep Sahai, commented that the deal represents a great outcome for Clearwater Analytics and its stockholders. He added that this also positions the company well for its next chapter of growth.

Once the transaction is completed, Clearwater Analytics will operate as a privately held company, with the management team remaining in place, and the business continuing to serve clients, partners, and employees with no disruptions during the transition.
Warburg Pincus’ Managing Director, Alex Stratoudakis, also commented on the move, stating that Clearwater Analytics continues to set the standard for excellence in the industry.
