Details of the Expanded Commercial Agreement
Under the arrangement, Binance will promote $USDC, the flagship stablecoin of Circle. It will also work alongside Circle to increase awareness of stablecoins and support their integration across the Binance platform. Circle will provide infrastructure services that support the holding and use of $USDC.
In addition, Circle will pay Binance a monthly incentive fee. This fee will be based on the percentage of $USDC held through Circle’s Modular Smart Contract Wallet infrastructure. The new agreement replaces earlier commercial arrangements between the companies signed in November 2024 and August 2025. However, either company can terminate the agreement early under some specific conditions.
Binance and Circle are targeting greater $USDC adoption in emerging markets. They are striving to grow stablecoin usage to provide an alternative way to access dollar-based financial products.
Binance Acquires Circle Shares in Private Placement
According to Circle’s official announcement and SEC filing, Binance has purchased 1,237,011 shares of Circle Class A common stock. The purchase has been made at a price of $80.84 per share through a private placement that closed on September 17, 2026.
The purchase price represented an approximately 5% discount to Circle’s market price. In exchange for the discount, Binance has agreed not to transfer the shares for up to 2 years. The equity investment gives Binance a direct financial stake in Circle as the companies expand their existing commercial relationship.
The deal comes at a time when regulated stablecoins continue to gain a larger role across the decentralized finance (DeFi) sector. Binance’s investment in Circle combines an equity position with a longer-term commercial agreement that is centered around USDC.
