Today, Forex.com’s Japanese business side, the FX brand of Gain Capital Holdings Inc, pushed out a public notice. This notice addressed some concerns that have emerged after GAIN acquired INTL FCStone.
Merger Plans In Place
The deal itself was announced on the 27th of February, 2020. As it stands, INTL FCStone will acquire GAIN, buying the company for $6.00 per share. Doing the calculations, the total equity value for INTL FCStone was set at an impressive $236 million.
As it stands now, INTL FCStone Inc and GAIN have both entered an Agreement and Plan To Merge with each other. Furthermore, INTL, a Delaware Corporation, will bring in Golf Merger Sub I Inc, another Delaware corporation that is a wholly-owned subsidiary of INTL. This agreement is subject to the satisfaction or the waiver of certain conditions. Still, the overall plan is merging INTL and Golf Merger with GAIN, with Golf Merger ceasing to exist afterward. GAIN will yet exist after the merger but will stand as a subsidiary wholly owned by INTL.
Full Fruition By Mid 2020
