Because initial buyers exercised their option to buy, $78.75 million in notes were issued. The convertible senior notes are MicroStrategy’s senior, unsecured debt. They accrue 0.875% annually and are due every six months.
Unless redeemed, repurchased, or converted earlier in accordance with their terms, the notes are due on March 15, 2031. If MicroStrategy chooses, note holders can receive cash, class A common stock shares, or a mix of both. MicroStrategy’s class A common stock costs 0.4297 shares per $1,000 in notes. This exchange rate is 40% higher than MicroStrategy’s class A common stock’s U.S. composite volume-weighted average price.
MicroStrategy Continues Diversification with BTC Investments
The notes’ net proceeds of $592.3 million will be used by MicroStrategy to buy more Bitcoin, strengthening its cryptocurrency holdings.
