The lawsuit, filed in a US court in California San Francisco Division, represents plaintiffs from California and Florida. It accuses Coinbase and its CEO Brian Armstrong of misleading investors by offering tokens that the plaintiffs claim are securities.

The lawsuit alleges that Coinbase’s user agreement explicitly identifies the platform as a “Securities Broker,” suggesting that the sale of these digital assets violates state securities laws.
This recent lawsuit follows a series of legal challenges for Coinbase, including a lawsuit filed by the U.S. Securities and Exchange Commission (SEC) over allegations of securities law violations. The SEC’s lawsuit accused Coinbase of acting as an unregistered broker for its crypto trading platform, Coinbase Prime, and its Coinbase Wallet. Additionally, the SEC raised concerns about Coinbase’s staking-as-a-service platform, which allows customers to earn returns through “proof of stake” blockchains.
